Sondara
Draft — not legal advice. This is a comprehensive working draft for review, not a final or binding agreement. Certain terms (securities/MNPI, SMS/phone/AI-voice consent, arbitration, international data transfers) require review by a licensed attorney before publication.

Expert Terms

Last updated: 2026-07-12 · Version 0 (draft)

These terms apply to experts and consultants who share their expertise through Sondara. By responding to a request or participating in a consultation you agree to them and to our Privacy Policy. Sarah, who may contact and interview you, is an AI assistant.

1. Independent contractor

You participate as an independent contractor, not an employee of Sondara or any client. You are responsible for your own taxes on any compensation you receive.

2. Your representations

You represent that your biographical and expertise information is accurate, that you have the authority to participate, and that no employer policy, contract, or legal duty prohibits you from consulting on the topic.

3. MNPI & confidentiality attestation

You will not disclose material non-public information, employer confidential or proprietary information, trade secrets, or anything not effectively communicated to the market. You will not consult on your current employer, or on named competitors, without prior approval. You acknowledge Sondara may edit or redact content to remove potential MNPI, and that you share only your own general industry knowledge and experience — never investment advice.

4. Recording & transcription consent

You expressly consent to the recording and transcription of consultations and to sharing those recordings and transcripts with the requesting client. Where a call is recorded, a disclosure is provided at the start.

5. Communication consent (email, SMS, phone, AI)

You consent to being contacted about engagements by email, and — where you have opted in — by SMS/text and phone, including AI-assisted messaging and voice. You acknowledge that some outreach is AI-generated (Sarah). You may opt out of any channel at any time (e.g., reply STOP to texts, unsubscribe from email).

6. Per-engagement compliance attestation

Before answering, you confirm the specific attestations presented for that engagement — for example, that your answers draw only on your own experience and public knowledge, that nothing is covered by a confidentiality or departure agreement, and that you have no undisclosed conflict of interest.

7. Payment (name-your-price)

You set your own price for a response or consultation. Payment is made on the terms and timing shown at the time of engagement, through our payment provider.

8. Ownership of your responses

You grant Sondara and the requesting client the right to use the content of your consultation for their internal research purposes. You will not separately redistribute or resell the same consultation content.

9. Confidentiality, data use & liability

You keep the client's identity and research topics confidential. Your data is handled per our Privacy Policy. To the maximum extent permitted by law, Sondara's liability to you is limited to amounts payable to you for the relevant engagement.

10. Termination & governing law

Either party may end the relationship at any time. Governing law and dispute resolution apply as set out in the final terms. [Attorney review required.] Questions: experts@sondarainsights.com (placeholder).
